Agreement

By using this website, submitting a form, or placing an order, you agree to these terms. If you do not agree, please do not use the site. We may update these terms as the business changes; the version posted here at the time of your order is the version that applies to it.

Who may use this site

You must be at least 18 years old and able to enter a binding contract. If you are acting for a company, venue, or other organization, you confirm you are authorized to bind that organization to these terms.

Orders, pricing, and payment

• All prices are in U.S. dollars. Prices, pack discounts, and product specifications may change at any time before you place an order.
• Order totals are calculated on our servers from our published catalog. If a price is listed in error, we may cancel the affected order and refund you in full rather than fulfill it at the incorrect price.
• Payment is processed by Stripe. Submitting an order authorizes the charge shown at checkout, including applicable shipping and sales tax.
• Sales tax is applied based on your shipping destination and our collection obligations in that jurisdiction. See Shipping & Returns for shipping charges.
• An order is not accepted until we confirm it. We may decline or cancel any order and issue a refund.

Equipment and warranty

Charging kiosks and power banks are covered by the manufacturer's warranty against defects in materials and workmanship. Warranty coverage does not extend to damage from misuse, liquid exposure, unauthorized modification, vandalism, theft, power surges, or normal cosmetic wear. To start a warranty claim, contact support@cardinalcharging.com with your order number and a description of the issue.

Network platform and service availability

Stations depend on the Cardinal software platform, the mobile app, payment processing, and cellular or internet connectivity. We work to keep the network available but do not guarantee uninterrupted service. Maintenance windows, carrier outages, third-party payment interruptions, and events outside our control may affect station availability and rental activity.

Distributor program

Distributors purchase charging stations outright and own that equipment. Distributors earn a share of the rental revenue generated by the stations they deploy, subject to a separate written distributor agreement, which controls if it conflicts with anything here.

• You operate independently. Distributors are independent parties. Nothing here creates an employment, partnership, agency, or joint venture relationship with Cardinal, and you are responsible for your own taxes, licenses, insurance, and business expenses.
• Results vary and are not guaranteed. Rental revenue depends on your locations, foot traffic, seasonality, local demand, pricing, and how many stations you place. Any figures, examples, or estimator outputs on this site are illustrative only. They are not a promise, projection, or guarantee of income, and you may earn less than the examples shown or nothing at all.
• Network figures are not your results. Aggregate statistics describing the wider charging network reflect network-wide activity, not the performance of any individual distributor or station.
• Venue relationships are yours to secure.We do not assign or guarantee locations, territories, or exclusivity. Placing equipment requires the venue's permission, and you are responsible for your agreements with venues.

Acceptable use

You agree not to:

• Interfere with, probe, or attempt to gain unauthorized access to the site, the app, or the network.
• Scrape, copy, or reuse site content or imagery for a competing product or service.
• Misrepresent your relationship with Cardinal or make earnings claims on our behalf.
• Use the site for anything unlawful or in violation of a third party's rights.

Intellectual property

The Cardinal Energy Solutions name, logo, site design, copy, and images are owned by us or our licensors and may not be used without written permission. Purchasing equipment does not transfer any rights in our software, branding, or platform.

Disclaimers

Except for the warranty described above and any rights you have under applicable law that cannot be waived, the site, the platform, and the equipment are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Cardinal is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or lost data, arising from your use of the site, the platform, or the equipment. Our total liability for any claim is limited to the amount you paid us for the equipment or order giving rise to that claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold Cardinal harmless from claims, losses, and expenses arising out of your business operations, your agreements with venues, your placement or handling of equipment, or your breach of these terms.

Governing law

These terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Ohio, and you consent to venue and personal jurisdiction there.
